1. Acceptance of Terms
By accessing or using the services provided by Neno Technology B.V. ("Neno," "Company," "we," "us," or "our"), including our browser extension, platform, and any related services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not use our Services.
2. Description of Services
Neno provides an autonomous back-office platform for business founders, combining company incorporation, business banking, and financial automation into a single service. Our Services include:
Business Accounts: EUR-denominated accounts with SEPA transfers, international payments, and card services — provided by Swan, a licensed Electronic Money Institution (see Section 11 for details)
Financial Automation: Automated bookkeeping, categorization, and reconciliation of transactions
Reporting & Insights: Real-time financial reporting, cash flow analysis, and compliance-ready documentation
Company Administration: Tools to manage incorporation documents, shareholder records, and regulatory filings
Accounting Services: Professional bookkeeping, tax filings, and compliance services — subject to a separate Accounting Services Agreement (see Section 12)
Neno provides the technology platform and user experience. Payment and e-money services are provided by Swan (ACPR license #17328) and are subject to Swan's Terms and Conditions as detailed in Section 10. Accounting services are subject to a separate Accounting Services Agreement as detailed in Section 11.
The Services may be updated or modified over time to reflect improvements, new features, or compliance requirements.
3. User Responsibilities
When using our Services, you agree to:
Use the Services only in compliance with applicable laws and regulations of the European Union and the Netherlands.
Not engage in unlawful or prohibited activities.
Ensure that any content you upload, analyze, or process through the Services does not infringe on the rights of third parties, including intellectual property rights.
Maintain the confidentiality of your account login credentials and be responsible for any activity under your account.
4. Subscription and Payment
Neno offers both free and paid subscription plans:
Start Plan: Access to core features.
Start Plus Plan: Access to core features + startup tier.
Scale Plan: Access to all features + enhanced features.
Custom plan: Customized solutions tailored for multinational companies with complex financial workflows.
Payment Terms:
Subscription fees are billed in advance and are non-refundable except as required under Dutch and EU consumer protection laws.
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.
5. Data Protection and Privacy (GDPR Compliance)
Neno processes personal data in compliance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and Dutch implementing legislation.
Our Privacy Policy explains how we collect, use, and protect your personal data, and your rights under GDPR (including rights of access, rectification, erasure, restriction, portability, and objection).
By using the Services, you acknowledge that we may process your personal data for the purposes of providing and improving the Services.

Where Neno processes personal data on your behalf as a data processor, the terms of our Data Processing Agreement (available here) apply and form part of these Terms.
6. Intellectual Property Rights
All intellectual property rights in the Services, including software, trademarks, content, and design, are owned by Neno or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services for personal or internal business purposes, in accordance with these Terms.
You may not copy, reverse-engineer, or commercially exploit the Services without prior written consent.
7. Limitation of Liability
To the extent permitted by law, Neno shall not be liable for:
Indirect, incidental, special, or consequential damages.
Loss of profits, revenues, data, goodwill, or other intangible losses.
Damages arising from unauthorized access to or misuse of personal data despite reasonable security measures.
Nothing in these Terms shall limit liability where such limitation is prohibited by law, including liability for gross negligence, willful misconduct, or breaches of mandatory consumer rights under Dutch and EU law.
8. Modifications to the Services and Terms
Neno may update or modify the Services (in whole or in part) to improve functionality, maintain security, or comply with legal obligations.
We may revise these Terms from time to time. The latest version will always be posted on our website, and material changes will be communicated to users in advance where legally required.
Continued use of the Services after updated Terms take effect constitutes acceptance of the changes.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands and applicable EU law.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands, unless otherwise required by mandatory consumer protection law.
10. Payment Services
10.1 Service Provider Identification
Payment services, including business accounts and electronic money services, are provided by Swan, a licensed Electronic Money Institution authorized by the Autorité de Contrôle Prudentiel et de Résolution (ACPR) under license number 17328. Swan is registered at 95 Avenue du Président Wilson, 93100 Montreuil, France.
Neno Technology B.V. provides the technology platform, user interface, and value-added services that integrate with Swan's payment infrastructure. Neno is not a payment service provider or electronic money institution and does not hold customer funds.
10.2 Applicable Terms and Conditions
All payment-related services are governed by Swan's Terms and Conditions, available at: https://www.swan.io/termsandconditions
By using the payment features within Neno's Services, you agree to be bound by Swan's Terms and Conditions in addition to these Terms. In the event of any conflict between these Terms and Swan's Terms and Conditions regarding payment services, Swan's Terms and Conditions shall prevail.
10.3 Payment Services Covered
Swan provides the following payment services through the Neno platform:
Payment Accounts: Business current accounts denominated in EUR
SEPA Transfers: Single Euro Payments Area credit transfers and direct debits
Card Services: Virtual and physical payment cards for business use
Multi-Account Features: Sub-accounts and multi-entity account structures
10.4 Responsibilities and Dispute Resolution
Neno is responsible for:
Providing and maintaining the technology platform and user interface
Customer support for platform-related inquiries and technical issues
Integration and display of payment information within the Services
Value-added features such as financial analytics, reporting, and automation tools
Swan is responsible for:
Holding and safeguarding customer funds in accordance with applicable regulations
Processing all payment transactions (incoming and outgoing)
Issuing payment accounts and payment instruments (cards)
Regulatory compliance for payment and e-money services
KYC/AML verification and ongoing monitoring
Dispute Resolution:
For disputes relating to the Neno platform, technology, or value-added services, contact Neno at support@neno.co
For disputes relating to payment transactions, account balances, unauthorized transactions, or other payment service matters, contact Swan directly through their customer support channels as specified in Swan's Terms and Conditions
Neno will assist in facilitating communication with Swan where appropriate but cannot resolve payment-related disputes on Swan's behalf
11. Accounting Services
11.1 Scope
Neno offers professional accounting services including bookkeeping, tax preparation, VAT filings, annual accounts, and related compliance work. These services are provided under a separate Accounting Services Agreement that governs the specific scope, deliverables, and fees.
11.2 Client Responsibilities
When using Neno's accounting services, you agree to:
Provide accurate, complete, and timely information and documentation
Notify Neno promptly of any changes affecting your financial or tax position
Review and approve deliverables in a timely manner
Bear responsibility for business decisions made based on Neno's work
Neno's obligation is to perform services with reasonable care and skill. Neno does not guarantee specific outcomes such as tax savings or audit results.
11.3 Authorization
By engaging Neno's accounting services, you authorize Neno to communicate with relevant authorities (including the Belastingdienst and KVK) on your behalf for matters within the agreed scope of work.
11.4 Liability
Liability for accounting services is governed by the Accounting Services Agreement. In general:
Liability is limited to direct damages and capped at the fees paid for the specific services giving rise to the claim
Neno is not liable for indirect, consequential, or special damages, including lost profits or business losses
Claims must be submitted in writing within 30 days of discovering the issue
The limitation period for claims is 12 months from the event giving rise to the claim
These limitations do not apply in cases of intent or gross negligence.
11.5 Confidentiality and Data Processing
Neno will treat all client information as confidential and process personal data in accordance with Section 5 of these Terms and applicable data protection law. A Data Processing Agreement forms part of the Accounting Services Agreement where Neno processes personal data on your behalf.
